Message: Re Corporate Law- Anyone who is on the board of a corporation is protected by corporate law for personal lawsuits as long as they follow Corporate Law. However a corporation that does not follow Corporate law can have the board members sued . For example if an election of a board was done illegally and not voted on by the corporation members( church members ) those board members having not being elected legally open themselves to personal lawsuits.Corporation are bound by law to conduct business according to corporate law. If they do not they are breaking Corporate Law. Corporate law takes precedent over church law.So when the Ustav of our church is used it must conform to corporate law .DO NOT BE SURPRISED IF AT ONE OF YOUR CHURCH MEETING THERE WILL BE A PUSH TO PUT IN PLACE THE USTAV ABOVE CORPORATE LAW. THE DANGER OF THIS FOR OUR CHURCHES IS THE POSSIBLE LOSS OF CHARITABLE DESIGNATION WHICH WOULD RESULT IN NO INCOME TAX RECEIPTS BEING ABLE TO BE DISTRIBUTED BY CHURCHES.
Supposedly the new approach by our bishop is that they are not against corporations and the Ustav will take corporate law into account. BE SURE TO ATTEND ANY BY LAW MEETING CALLED BY YOUR CHURCH BOARD AND BE SURE THAT CORPORATE LAW IS OBSERVED. There are many who have no idea how important corporate law is to protect the assets of our churches.
